Frequently asked questions

Can the board vote between two meetings?

Yes. An electronic vote opens with a locked list of voters. Each director signs their vote, which is final. The vote closes on its own, by unanimity or majority according to the chosen rule, and the result is entered in the decision register.

Can the minutes be changed after they are adopted?

No. Once adopted, the minutes are locked. A decision is never deleted: it is cancelled or replaced, and the history remains.

How is quorum calculated?

Samwell proposes a majority of the people called to the meeting. If your bylaws say otherwise, the number you enter takes precedence.

Are annual general meetings supported?

Yes: member register, attendance, proxies and resolutions. The notice period is calculated under the law that governs your organization.

Do board members pay for access?

No. Board members never count toward the price, just like volunteers.
